Özet:

Management consulting is a professional service that businesses or public institutions utilize to overcome challenges, use their resources efficiently, and achieve strategic objectives. This service strategically contributes to strengthening organizational structures, improving processes, reducing costs, and resolving issues faced by businesses. Having developed significantly after the Industrial Revolution, this field has expanded over time to encompass not only technical and operational processes but also organizational transformation, digitalization, and sustainability. Although there is no direct regulation concerning management consulting in Türkiyes legislation, the profession was defined through a communique published in 2013. Management consulting agreements aim to provide intellectual services to clients based on the principle of independence. These agreements bear similarities to service, work, and mandate agreements but also exhibit a sui generis nature. They differ from work agreements with their process-oriented approach, from mandate agreements with the requirement of producing a tangible report, and from service agreements with their emphasis on independence. In conclusion, management consulting is a profession that plays a critical role in resolving the challenges faced by businesses and enabling them to achieve strategic goals, becoming an indispensable service in the modern business world. Factors such as globalization, digitalization, and increasing competition have further highlighted the importance of this service. This study examines the definition of management consulting, explores the professional and legal framework in this field, and provides a detailed analysis of the distinctive aspects of management consulting agreements, which are atypical in nature, compared to similar agreements such as mandate, work, and service contracts.
